COMPETITION RULES

 

1 - COMPETITION ORGANISER

 

The “Ball Kids by TotalEnergies 2025 Edition” competition (the “Competition”) is organised by the Affiliated companies listed in Appendix 1 (said Affiliated companies being hereinafter referred to together as the “Organisers” and individually an ”Organiser”) by TOTALENERGIES MARKETING AFRICA, a simplified joint stock company with a share capital of 94,371,670 Euros, whose registered office is located at 24 Cour Michelet, 92800 Puteaux (France), registered under number 542 038 716 (RCS NANTERRE), acting in the name and on behalf of the Organisers.

 

The Competition shall be put in place and promoted on the Organisers’ social media and website as listed in Appendix 6 and in the Organisers’ participating service stations in the TotalEnergies network. This Competition is taking place in the context of the TotalEnergies CAF Women’s Africa Cup of Nations, Morocco 2024 which will be held from July 5th to July 26th, 2025 in Morocco and of which TotalEnergies is the title sponsor.

 

The Competition is operated by the Organisers in their respective countries of registration (together the “Participating Countries” and individually a “Participating Country”, as listed in Appendix 1 of these Rules), under their sole responsibility within that country.

 

For the purposes of these Rules, the term Affiliate shall mean, with respect to TotalEnergies SE, all of the companies which are directly or indirectly Controlled by TotalEnergies SE (the term “Control” meaning directly or indirectly holding more than 50% of voting rights; and the terms "Controls", "Controlled" and “Controlling” being construed accordingly).

 

 

2 - PURPOSE OF THE RULES

 

The purpose of these rules (hereinafter the “Rules”), comprising this document and its appendices, is to define the terms and conditions for participating in the Competition and the terms and conditions under which the Competition will be run.

 

Each Organiser organises the Competition in the relevant Participating Country in its own name and on its own behalf. There is no joint and several liability among the Organisers of the various Participating Countries.

 

Within each of the Participating Countries, the Organiser registered in the Participating Country shall alone be responsible towards Participants who have participated in the TotalEnergies service stations located in the country of the Organiser in question.

 

 

3 - DESCRIPTION OF THE COMPETITION

 

Each Organiser shall offer, within its country, the possibility for female football fans aged between 13 and 16 years old on the Competition starting date to be brought into the heart of African football by becoming “Ball Kids by TotalEnergies” during one game of the TotalEnergies CAF Women’s Africa Cup of Nations, Morocco 2024.

This a free competition with no purchase necessary.

 

4 - DURATION OF THE COMPETITION

 

The Competition will start and end at the time and date described in Appendix 2 (French publication date and time being official and binding).

5 - ENTRY CONDITIONS

 

    1. Entering the Competition requires the unreserved acceptance of these Rules in their entirety together with good conduct rules and the laws, regulations and other rules in force in the participating country. Failure to comply with the entry conditions set out in the rules will cause the nullity of the entry in question.

 

    1. Participation in the Competition is reserved to natural persons who meet the following cumulative conditions on the Competition starting date:

 

 

    1. Employees of the Organisers any all persons who have directly or indirectly participated in any manner in planning the Competition, including any persons working for the Organisers, and any members of their families, are excluded from any participation in the competition.

 

    1. Only those entries which comply with all of the terms of the Rules will be accepted. Consequently, the Organisers reserve the right to make all necessary checks concerning the identity, age and contact details of each Participant. Any information that is incomplete, erroneous or falsified, or which does not make it possible to identify or locate the Participant, will cause their entry to be cancelled.

 

    1. It is strictly forbidden to modify or attempt to modify, by any means, the arrangement and mechanism of the Competition, notably with the aim of changing the results.

 

6 - METHOD OF PARTICIPATION IN THE COMPETITION

 

To enter the Competition, Participants must:

 

 

 

 

 

Entry to the Competition may only be made in accordance with the above methods.

The Personal Information provided by the Participant must be valid and sincere, otherwise they will be excluded from the Competition and, if selected, will lose their status as winners.

 

 

The following (this list being without limitation) will also be rejected automatically:

 

 

Likewise, the Participant undertakes to comply with rules in force in matters of intellectual property, and therefore not to reproduce, display, broadcast, or modify in any manner whatsoever, any content (signs, writings, images, or messages of any nature) for which she has not obtained express authorisation from the rights-holders prior to his/her participation.

 

It is strictly prohibited, by any process whatsoever, to modify or attempt to modify the proposed Competition mechanisms, notably for the purpose of changing results or influence by any automated or unfair means the validity of the selection of a Winner. If it is revealed that a Participant wins in breach of these Rules, using fraudulent means, the allowance will not be allocated to him/her, without this limiting any proceedings that may be brought against the Participant by the Organiser or by third parties.

 

 

  1. 7 - REFUNDING OF COSTS OF CONNECTION ASSOCIATED WITH THE COMPETITION

 

Participants who comply with the conditions laid down in Article 5 of the Rules may obtain reimbursement for the following costs, on request:

 

All other costs whatsoever cannot in any event be reimbursed by the Organiser and shall remain at the Participant’s expense.

 

The Organiser will only accept one reimbursement request per household (same name, same postal address) throughout the entire duration of the Competition.

 

Reimbursement requests must be sent at the latest within a period of three (3) months following participation in the Competition (post office stamp being conclusive proof of date) on plain paper sent to the address of the registered offices of the Organiser.

 

Any request that is incomplete, illegible, sent to an address other than the above or sent after expiry of a period of three (3) months following participation in the Competition, shall be considered null and void and will not be the subject of any reimbursement.

 

 

    1. Costs of connection to the Internet associated with participation in the Competition

 

If the Participant accesses the Competition using a modem and a telephone line billed proportionally to communication time or on a call-by-call basis, and only in that case, she may obtain the reimbursement of connections on a lump-sum basis corresponding to the cost of connection for five (5) minutes of a local telephone call including taxes from a landline at prices in force.

 

Where the Participant’s contract with his internet service provider provides for an all-inclusive charge, or free connection, it is understood that participation in the Competition does not give rise to any specify expense borne by the Participant and shall not therefore give rise to any reimbursement of connection costs by the Organisers.

 

Each Organiser shall keep logs of the dates and times of connection of each Participant. The Organiser reserves the right not to reimburse Internet connection costs to any unidentified person or any person claiming reimbursement corresponding to a connection time exceeding the actual connection time.

 

Reimbursement requests must include:

 

The name of the Participant requesting reimbursement must be the same as the name stated on the invoice of the telephone carrier and/or internet service provider.

 

    1. Postal costs associated with the request for reimbursement of connection costs

 

The Organiser undertakes to reimburse the cost of the stamp used by the Participant to make the reimbursement request on the basis of slow postage rates in force.

 

 

 

 

    1. Reimbursement method

 

Within thirty (30) days following receipt of a reimbursement request corresponding to the conditions set out above, the Organiser shall send the participant reimbursement of these specific costs by way of a cheque made out to the Participant. In the event of refusal to reimburse by the Organiser, it shall state the reasons to the Participant.

 

  1. 8 - METHOD OF SELECTING AND INFORMING EACH WINNER

 

 

    1. At the end of the game, i.e. on the date specified in Appendix 2, each Organizer centralizes and processes the entries.

 

    1. Within 15 days following the end of the Game, a local jury constituted within each Organizer, selects from all  the completed forms,  4 (four) participants having proposed the best “rallying calls”, with one participant per each of the 4 (four) profiles of football players mentioned in Article 6.

 

 

    1. In order to verify the accuracy of the information of the four (4) Participants selected by each  Organizer in its country, each Organizer may contact the selected Participants by phone or email within the period of 14 days following the end of the game mentioned in Appendix 2.

 

In the absence of a response received by the Organizer from the Participant within five (5) calendar days, his/her place among the four (4) Participants selected by the Organizer will automatically be allocated to another Participant.

 

    1. The four (4) selected participants will be contacted by the Organizer for an interview. At the end of the 4 (four) interviews, the Organizer will select the Winner in its country. This final selection will be made no later than 30 days following the end date of the game (mentioned in Appendix 2).

 

    1. Each Organizer must inform the Winner of his/her country within a maximum of seven (7) working days following the date of the final selection. The Winner contacted in this way must, within a maximum period of seven (7) calendar days after receipt of an email and/or a phone call, confirm his/her presence by returning the confirmation form to the Organizer in order to attend the TotalEnergies CAF Women’s Africa Cup of Nations, Morocco 2024 game  on which he/she will be invited to be Ball Kid by TotalEnergies.

 

 

 

In the absence of response from the Winner to the Organiser in his/her country under the conditions and within the time limits specified above, her place as one of the Ball Kids by TotalEnergies shall be deemed to be lost.

 

For the avoidance of doubt, it is specified that the Participants who are not selected will not be informed.

 

 

 

  1. 9 - TERMS FOR THE DELIVERY AND USE OF THE PRIZE

 

    1. Terms for the delivery and use of the prize

 

Each Winner will receive, at their postal or email address, a document from the Organiser in his/her country confirming her/his participation as a Ball Kid at one of the games of the final of the TotalEnergies CAF Women’s Africa Cup of Nations, Morocco 2024, which will take place from July 05 to February 26, 2025.

 

The Organiser will contact the legal guardians of the Winners who have confirmed their presence in order to communicate the necessary information about how the event will take place.

 

    1. Details concerning the conditions of use of the prize

 

Each awarded place as Ball Kid by TotalEnergies cannot be disputed in any way whatsoever by each Winner. Each attributed place is strictly personal, such that it cannot be transferred or sold to any third party whomsoever; it cannot be the subject of any refund by the Organiser, in cash or in exchange, or any discounting of its value in whole or in part, in cash or in kind.

 

 

 

 

  1. 10 - PUBLICITY, PROMOTION OF THE WINNERS AND RIGHT OF THE PARTICIPANTS TO THEIR OWN LIKENESS

 

As a direct consequence of accepting that their child becomes one of the Ball Kids by TotalEnergies, in the absence of express objection on their part, the legal guardian of the Winner authorises the Organiser in her country to use, on any medium including digital media, the forename and surname of the Winner, and, as relevant, her place of residence, in all advertising or promotional events concerning the Competition, irrespective of the location where they are disseminated, as of the time of the announcement of her participation and until expiry of a period of three (3) years as of that date, without this granting any right to remuneration or any benefit whatsoever other than being one of the Ball Kids by TotalEnergies.

 

In the event that the legal guardian of the Winner does not wish this to be so, he or she must stipulate this by email to the address mentioned in Appendix 3.

 

Participation in the Competition implies the use of the likeness of the Participant under the following conditions:

 

 

The Competition is neither organised nor sponsored nor administered by Facebook / Instagram / Twitter / TikTok. The Organiser represents to Participants that the Facebook / Instagram / Twitter / TikTok companies are released from all liability in the organisation or progress of the Competition.

 

 

 

  1. 11 - CONSULTATION OF THE RULES

 

The Rules may be consulted, downloaded and printed from the Organiser’s site, throughout its entire duration. The addresses of the sites are produced in Appendix 5.

 

A copy of the Rules shall also be sent by post to any person who so requests on plain paper containing, legibly, his or her full contact details (surname, forename, postal address), prior to expiry of a period of ten (10) business days following the date on which the Competition ends (post office stamp being conclusive proof of date) to the address of the registered office of the Organiser in his or her country of residence.

 

In all cases, any request that is incomplete, illegible, sent to an address other than the above or sent after expiry of the above time limit (post office stamp being conclusive proof of date) shall be considered null and void.

 

In the event of extension or postponement of the Competition, the deadline for sending requests to obtain a copy of the Rules shall be postponed correspondingly.

 

 

  1. 12 - AMENDMENT, SUSPENSION OR CANCELLATION

 

The Organiser cannot be held liable if, due to an event of force majeure or events beyond its control, the Competition is cancelled, postponed, suspended, modified, or shortened. The Organiser reserves the right in all cases to extend the period for entries, and to postpone any announced date and/or time. The Organiser reserves the right to amend the Rules during the period in which the Competition is run. Any amendment shall be the subject of an addendum to the Rules published on the Competition website and, if required by applicable laws in the Participating Country, filed with the Zambia Lotteries Board whose name is produced in Appendix 6. Any addendum shall enter into force as of the time of its publication

 

The Participant is deemed to have accepted these amendments merely by participating in the Competition as of the date of entry into force of the amendment, and waives any claim or dispute concerning any amendment made to the Rules by the Organiser.

 

The Organiser may cancel all or part of the Competition if it appears that there has been fraud in any form whatsoever in entries in the Competition. In this event, the Organiser reserves the right not to award the Prize to frauds, to recover the allowance in the event that fraud is discovered after its award and/or to bring proceedings against those committing and/or complicit in such fraud before the competent courts.

 

 

  1. 13 - USE OF THE PERSONAL DATA OF THE PARTICIPANTS

 

    1. Gathering of data

 

The information concerning the Participants is processed by the Organising Company in the context of their participation in the Competition.

 

The personal data gathered at the time of registration for the Competition (hereinafter “Personal Data”) shall be processed for the purposes of organising the Competition and managing the classing of Participants.

 

The Personal Data shall also be processed by the Organiser for commercial prospection purposes (sending of communications or commercial offers) subject to consent of the Participants. Each Participant may at any time withdraw consent to receiving these communications and commercial offers via the terms presented in each message. The gathering and processing of the Personal Data are implemented by the Organiser in accordance with the laws of its country of registration.

 

    1. Recipient of the data

 

The Personal Data gathered from Participants may be communicated to the Organiser, to certain departments of the Organiser and to the providers of IT services and subcontractors acting on behalf of the Organiser, solely for the performance of their tasks in the context of the organisation and proper running of the Competition.

The Organiser may transmit the collected Personal Data on receiving a request from a judicial authority or any administrative authority empowered by law requesting the communication of these Personal Data, in accordance with statutory and regulatory provisions in force in the country where the form was lodged.

 

    1. Transfers of data

 

Any transfer of Personal Data to a third country outside the European Economic Area shall be carried out in compliance with applicable regulations and in such a manner as to ensure the adequate protection of the data.

For transfers of Personal Data that are not covered by the BCR and made towards countries outside the European Economic Area, other measures have been put in place to ensure an adequate level of protection of the Personal Data.     1. Security and confidentiality of the Personal Data

 

The Organiser puts appropriate measures in place to preserve the security and confidentiality of the Personal Data and, in particular, to prevent them from being deformed, damaged, and prevent unauthorised access to them by third parties, in compliance with the applicable laws and regulations in force.

 

    1. Storage of the Personal Data

 

The Personal Data shall be stored by the Organiser for the entire duration of the competition in order to ensure the proper running of the competition, i.e. until 6 February 2022. The Personal Data may, where relevant, be stored in interim archives for the applicable legal limitation period.

 

 

    1. Rights of Participants

 

In accordance with regulations in force, Participants shall have a right of access, rectification, erasure of their Personal Data, and may also request a restriction of processing. Participants also have a right to data portability and may object to processing, including for commercial prospection purposes. Participants may also withdraw consent at any time where the processing is carried out on this legal basis.

 

To exercise their rights or to request information about the processing of their Personal Data, Participants may send a request to the address appearing in the data privacy policy on the Organiser’s Site.

 

If Participants consider that their rights are not being respected, after having contacted the Organiser, they may make a complaint to the competent supervisory authority.

 

 

  1. 14 - INTELLECTUAL PROPERTY - RIGHT TO ONE’S LIKENESS

 

    1. All names, brands or trademarks mentioned in these Rules and on any communication medium concerning the Competition, shall remain the sole property of their author or registrant.

 

    1. The images and videos used, objects displayed, marks, brands and trading names mentioned, graphical and digital elements and databases, are the sole property of their respective owners and cannot be extracted, reproduced or used without the latter’s written authorisation, failing which civil and/or criminal proceedings may be brought.

 

    1. Any reproduction, display or exploitation not authorised by the Organiser of all or part of the of the communication elements by the Participants is strictly prohibited.

 

    1. Any similarity of the persons or elements of the Competition to other fictional persons or other pre-existing elements is purely coincidental and cannot give rise to liability on the part of the Organiser or its service providers.

 

    1. From the start of the competition (see Appendix 2) until the end of the TotalEnergies CAF Women’s Africa Cup of Nations, Morocco 2024, the Organiser may make video recordings including the imaging the presence of the future Ball Kid by TotalEnergies.

 

By confirming her participation, the Participant’s legal guardian authorises the assignment of the rights to the Participant’s own likeness in the context of the video/photo recordings made by the Organiser.

 

 

  1. 15 - LIABILITY

 

    1. The Organiser cannot be held liable for any loss or damage of any nature (personal, physical, material, financial or other) arising at the time of participation in the Competition. Participation in the Competition shall be valid as acceptance by the Participant of this condition. No claim will be accepted in this respect.

 

    1. The Organiser may cancel all or part of the Competition if it appears that fraud has taken place in any form whatsoever. The Organiser reserves the right, in this case, not to award the participation to those committing fraud and/or to bring proceedings against those committing such fraud before the competent courts.

 

    1. The Organiser shall make its best efforts to ensure access at all times to its website and its pages on social media.

 

    1. The Organiser’s liability is strictly limited to delivering the Prize that has been properly and effectively won.

 

    1. It is expressly recalled that the Internet is not a secure network. In this respect, entry into the Competition implies knowledge and acceptance by each Participant of the features and limits of the Internet, notably concerning the technical performance, response times for consulting, querying or transferring information, the risks of interruption, and generally the risks inherent in any connection and transmission over the Internet in general, the lack of protection of certain data against misappropriation and the risks of contamination by viruses on the Internet.

 

    1. Consequently, the Organiser cannot be held liable for any virus infection or intrusion by a third party into the terminals or systems of Participants in the Competition and disclaims any liability concerning the consequences of the Participants’ connection to the network.

 

    1. In particular, the Organiser cannot be held liable for any loss or damage caused to the Participants, to their computer equipment and to the data stored on it, as well as the consequences that may arise for their personal or professional activity. It is for each Participant to take all appropriate measures to protect their own data and/or software stored on their computer hardware against any breach. The connection of any person to their social media account and their participation in the Competition shall be entirely under their own responsibility.

 

    1. The Organiser may cancel all or part of the Competition if it appears that fraud has taken place in any form whatsoever, including in a digital manner in the context of participation in the Competition or determining the Winner. It reserves the right, in this case, not to award the Prizes to those committing fraud and/or to bring proceedings against those committing such fraud before the competent courts.

 

    1. The Organiser may interrupt the Competition at any time, notably for technical reasons or for the purposes of updating or maintenance. The Organiser shall not bear any liability for such interruptions and their consequences.

 

    1. The Organiser disclaims any and all liability for any incidents or accidents that may occur to the Winner during the use and/or enjoyment of his/her Prize.

 

 

  1. 16 - RIGHT OF EXCLUSION

 

The Organiser may, by right and without notice, exclude any Participant that does not comply with the Rules, and proceed with the pure and simple cancellation of any winnings that the Participant might claim.

 

The Organiser may also, by right and without notice, delete and cancel any entry into the Competition which presents patent errors as to the identity and age of the Participant.

 

The Participant also acknowledges the Organiser’s right to cancel any winnings arising due to a technical malfunction of the site. Such a cancellation may occur at any time and without notice.

 

The Participant also acknowledges the Organiser’s right to delete and cancel an entry into the Competition by any Participant who creates or uses a method intended to obtain the winnings unfairly and/or abnormally. Such deletion may occur at any time and without notice. No claim will be accepted on this basis.

 

 

  1. 17 - EVIDENCE RULE

 

It is agreed that, except in case of patent error, the Organiser may rely, including as evidence of any act, fact or omission, on the programs, data, files, records, operations and other elements (such as tracking reports or other logs) of any nature including in any digital or electronic format or media, produced, gathered or stored directly or indirectly by it, including in its information systems.

 

Thus, the elements in question shall be considered evidence and, if produced in evidence by the Organiser in any litigation or other proceedings, they shall be admissible, valid and may be relied upon between the parties in the same manner, under the same conditions and with the same value as evidence as any document produced, gathered or stored in writing.

 

 

  1. 18 - CLAIMS

 

Any claim concerning the application or interpretation of the Rules must be made in writing to the email address indicated at Appendix 3.

 

However, the Organiser reserves the right not to follow up on claims that it deems not to be pertinent.

 

 

  1. 19 - ETHICS

 

    1. The Organiser recalls its commitment to complying with rules in combating corruption, fraud and infringements of competition laws, and expects each Participant to comply with this same commitment.

 

    1. Each Participant further undertakes to declare any potential conflict of interests that may arise with his/her participation in the Competition, connected in particular with the existence of any family, professional or other ties that might make his/her entry suspect.

 

 

  1. 20 - INDEPENDENCE

 

Registration and participation in the Competition shall not have the effect, in any matters whatsoever, of creating any relationship of subordination between the Organiser and the Participant.

 

 

 

 

  1. 21 - GOVERNING LAW –JURISDICTION

 

    1. These Rules shall be governed exclusively by the law of the country in which the Organiser is registered, to the exclusion of its rules on the conflict of laws.

 

    1. Any dispute arising in respect of the Competition shall be brought before the competent courts, considering the nature of the dispute, of the town or city where the Organiser is registered as specified in Appendix 1.

 

 

  1. 22 - PARTIAL INVALIDITY

 

In the event that any one of the clauses of the Rules should become null and void due to a change in laws and regulations or by a court decision, this shall not in any event affect the validity of and compliance with the other clauses of the Rules.

 

 

  1. 23 - FILING OF THE RULES

 

If required by applicable laws in the Participating Country, these Rules shall be filed with the bailiff indicated in an Appendix to these Rules and may be sent without charge to any person who so requests to the address of the registered office of the Organiser, depending on the Participating Country, as produced in Appendix 1 to these Rules.

Postage for written requests for a copy of the Rules shall be refunded at the slow postage rate in force, on request.
